CENDANT SETTLES LAWSUIT BY INVESTORS FOR $350 MILLION

The Cendant Corporation, a franchiser and direct marketer, agreed yesterday to settle a class-action lawsuit by investors for $350 million. Cendant, based in Parsippany, N.J., agreed to raise by $350 million the market value of securities it issued last year to help finance a bid to buy American Bankers Insurance Group Inc. Plaintiffs contended that the company's executives had misled investors by failing to disclose accounting fraud in April that resulted in a drop in Cendant's share price. The accounting troubles also caused the $3.1 billion purchase of American Bankers Insurance to fall through. Cendant stock rose 50 cents yesterday, to $19.9375.
