CHIPCOM WILL ACQUIRE ARTEL IN A STOCK SWAP

The Chipcom Corporation agreed yesterday to buy the Artel Communications Corporation of Hudson, Mass., in a stock swap valued at about $45.9 million. Chipcom, based in Southborough, Mass., will issue 674,000 new shares for all of Artel's shares and keep in reserve an additional 226,000 shares to cover warrants and options. Chipcom has 9.7 million shares outstanding, said Robert P. Badavas, vice president of finance and chief financial officer. Based on a Chipcom stock price of about $51 a share, the acquisition is valued at more than $45 million. Shares of Chipcom fell $2.25, to $50.50, in Nasdaq trading while Artel's stock dropped $1.0625, to $3.0625.

WELLPOINT TO BUY UNICARE FINANCIAL FOR $154 MILLION

Wellpoint Health Networks said yesterday that it would acquire the Unicare Financial Corporation for $29 a share in cash, or about $154 million. Wellpoint, based in Woodland Hills, Calif., is the largest for-profit managed care company in California, with 2.3 million members. Unicare, based in Irvine, Calif., underwrites workers' compensation insurance through its Unicare Insurance Company unit. Shares of Unicare soared $7.875, to $27.625, on the New York Stock Exchange, where the gain of almost 40 percent was the biggest of the day. Wellpoint's stock slipped 25 cents, to $26.50.

BECKMAN INSTRUMENTS TO CUT 11% OF ITS WORK FORCE

Beckman Instruments Inc., based in Fullerton, Calif., disclosed a reorganization plan yesterday that calls for cutting about 11 percent of its work force. Under the plan, for which Beckman said it would take a significant but unspecified charge in the fourth quarter, the company will cut about 750 jobs. Beckman will also combine its two operating units into one and reorganize its management team, the company said. The company's stock slipped 50 cents yesterday, to $26.25, on the New York Stock Exchange.

TANDY IS SELLING MAGNETIC TAPE DIVISION FOR $65 MILLION

United States savings bond sales plummeted 63 percent in September, to $746 million, from $2.02 billion a year earlier. "Savings bond sales were unusually high in late 1991 and 1992 in response to the decline in market yields below the 6 percent guaranteed rate then in effect," the Treasury Department said last week. The current market-based rate on bonds held five years or longer is 4.78 percent. It is to be adjusted on Nov. 1.

A Bank's Prime-Rate Cut Spurs Another Gain by Gold

The price of gold rose yesterday to the highest level since the beginning of September, after Morgan Guaranty Trust Company lowered its prime lending rate, a move that could help increase the demand for gold. Morgan Guaranty, the nation's fourth-largest bank, cut its rate on loans for its most creditworthy customers, its prime rate, to 5.5 percent from 6 percent. Traders said this aided gold prices, as did speculation that German interest rates would be cut in the next few weeks.
