LEAD: The Washington investors, Steven M. Rales and Mitchell P. Rales, demanded a list of all of the shareholders of Interco Inc. The Rales brothers have offered to acquire Interco, the nation's biggest manufacturer of furniture and men's shoes, for $64 a share, or $2.1 billion. In a letter to Interco dated Tuesday, contained in a Securities and Exchange Commission filing, the Rales brothers said that the purpose of their demand is to communicate directly with the company's shareholders.

The repurchase, to be made over an indefinite period, will increase shareholders' equity, said Enrique C. Falla, a Dow vice president.
